Terms and Condition for Non-Profits


All Non-­‐Profit Organisations (“NPO”) registered with Doing Good Fellows (“DGF”) shall be strictly bound by the terms and conditions contained herein. Hereinafter, the usage of the term “Fellow” shall mean a person who is an expert in a specific domain and is registered with DGF for rendering voluntary services to the NPO’s. Hereinafter, the usage of the term “Services” shall refer to all services offered by DGF to the NPO’s including the services of Fellows for Projects, Consultation, Networks, etc. DGF at its discretion reserves the right to change, modify, amend, etc any of the provisions contained herein


The NPO’s herein  represent  that  it  is  strictly  a  not  for  profit  making  entity  with its main objectives being philanthropic in nature, and is registered either as a charitable society or a trust under the Societies Registration Act or as a not-­‐for-­‐ profit-­‐making Company under the Companies Act. The NPO  represents  that  its main  objectives  and  services  are  aimed   towards   the   betterment   of   the   society and that it is not involved in any unlawful or illegal activities. The board members/trustees  of  the  NPO  represent  that  they   have   attained   majority   and have taken all such corporate actions as  are  necessary  to  be  associated  with  and avail the services offered by DGF. The NPO  shall  strictly  abide  by  these  terms while availing  the  services  offered  by  DGF.  

The  NPO’s,  also  represent  and warrant that they will use this document only in a manner consistent with its intended   use.


The NPO’s herein covenant that all information provided by DGF pertaining to the Fellows shall be utilized by the NPO only to the limited extent of availing the Services rendered by DGF and in the manner provided herein and shall not be used for any other unauthorized purposes. Further DGF shall not be responsible for the authenticity of the information provided by the Fellows. Such Fellow information provided to the NPO’s shall be maintained in strict confidence and shall not be disclosed to any third party without the prior express written consent of DGF. Such disclosure is permitted only to those employees of your organization who a) require that particular information in order to carry out their responsibilities in availing the services offered by DGF, b) have been advised of its confidential nature and the existence of this arrangement, and c) have agreed to comply with this non-­‐disclosure obligations contained herein. Upon DGF’s request, the NPO shall also be required to disclose the names of the employees, agents, or representatives having access to such Fellow information.


The NPO’s represent that they shall be responsible in choosing a Fellow, from and out of the Fellow list circulated by DGF, who will be required for Consultation or for the purpose of completion of a certain Project. The NPO shall contact the Fellows only through the prescribed process outlined by Doing Good Fellows (refer Section 3 to 5 above). In the event the NPO, should contact a Fellow apart from the mechanism contained herein, it shall do so only with the prior written consent from DGF. All communications in the beginning between the Fellows and your organization shall be through DGF. We at DGF do not encourage any form of communication with the Fellows prior to commencement of the Project or Consultation, unless it is with our prior knowledge and for a specific purpose duly authorized by us. It is further agreed herein that DGF shall not be responsible for the authenticity of the information provided by a Fellow, quality of the work provided by the Fellows or the time taken by a Fellow to complete an assigned task. The NPO’s herein engage the services of a Fellow on its own volition.


All NPO’s covenant that the Fellows associated with DGF are rendering their voluntary services and expertise to act as a support system for the benefit of the NPO’s and therefore it is of utmost importance to treat them well and in a dignified manner. If the NPO’s Project takes longer than the time actually allotted, it is important for the NPO to inform DGF about the same and obtain prior written consent from us and the respective Fellow before continuing to use the services of the Fellows.


DGF’s role is strictly limited to providing an on-­‐line platform to connect NPO’s to Fellows who are experts in certain domains and are willing to provide their voluntary services to solve challenges faced by the NPO’s. The NPO’s acknowledge and agree that the Fellows are not employees or agents of DGF and DGF assumes no responsibility for any act or omission of any such Fellow. It shall be the sole discretion of the NGO to select a Fellow and engage his services for a Consultation, Project, etc through the process outlined by DGF. You understand and acknowledge that information provided by the Fellows is not authenticated by DGF. . DGF does not assume any liability or responsibility for the accuracy or correctness of the Fellow information, including the biographical information, qualifications, credentials or such other data.


Any  and  all  conflicts/controversies/disputes/differences/claims/arising among or between NPO’s, Fellows and/or DGF shall be settled through arbitration  in  accordance   with   the   Arbitration   and   Conciliation   Act, 1996.  The   sole arbitrator   appointed   by   DGF   shall   conduct   the arbitration   proceedings   and   the   decision   of   the   arbitrator shall    be final  and  binding  on  the   all   parties   concerned.   The   arbitration proceedings shall be in  English  and  the venue  of  the  proceedings  shall be in Chennai.


DGF is a non-­‐profit voluntary service that is prototyped to cater to the needs of people who want to do good. We at DGF use technology to facilitate an ecosystem where accomplished and networked professionals in their fields use their skill-­‐set and networks to solve the challenges of NPO’s in India. These challenges are in the form of expertise by sharing the skill-­‐set of our Fellows, or a “put me in touch”-­type service. DGF does not recruit/employee Fellows for the said purpose. All Fellows associated with DGF are volunteers who are interested in being a part of the Fellowship Program. Under no circumstances, including, but not limited to, negligence, shall DGF be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of, or the inability to use, any DGF Services, even if we have been advised of the possibility of such damages.


This Document serves as a Reference Document governing the terms and conditions of NPO’s registered with and availing the Services of DGF. Unless otherwise noted, all materials, including images, illustrations, designs, icons, photographs, written and other materials contained in this document and our website (www.doinggoodfellows.org) are copyrights, trademarks, trade dress, and/or other intellectual properties owned or controlled by Doing Good Fellows. You shall be strictly prohibited from reproducing, publishing, transmitting, distributing, displaying, modifying, creating derivative works from, selling or participating in any representation of, or exploiting in any way, in whole or in part, any of the contents herein.


You agree to defend, indemnify, and hold Doing Good Fellows harmless from and against any and all claims, damages, costs, expenses, including attorneys’ fees, charges, etc. arising from or related to your use of our Services.


Exclusive  Jurisdiction:  It  is  herein  agreed  that  the   Courts   in   Chennai shall    have    the    exclusive    jurisdiction    to    decide    on    all matters/disputes relating to or arising from this Document.


In the event of any breach of the terms and conditions or representations contained herein by a NPO, DGF shall have the right to terminate the registration of such NPO with DGF. Upon termination, you shall destroy all documents and materials obtained through DGF and all copies thereof, whether made under these terms or otherwise.
